Terms of Use
1. Acceptance of terms
These Terms of Use (the "Terms") form a legally binding agreement between you and Experts InfoTech (Pvt) Ltd. ("Experts InfoTech", "we", "us", "our"), the provider of SuffahERP. By accessing our website, signing up for a demo, creating an account, or using SuffahERP in any way, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Cookie Policy.
If you do not agree with any part of these Terms, you must not use our services. If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
2. Definitions
- "Services" means the SuffahERP platform, the suffahsoft.com website, and any related software, APIs, mobile applications, documentation, and support provided by Experts InfoTech.
- "Customer Data" means any data, content, or material that you upload, transmit, or create within the Services.
- "Subscription" means the plan and billing cycle you have selected for the Services.
- "User" means any individual authorised by you to access the Services under your account.
- "Subscription Term" means the period during which you are entitled to use the Services under your Subscription.
3. Your account
To use the Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Maintain the security of your account credentials and any API keys we issue to you.
- Promptly notify us at security@suffahsoft.com if you become aware of any unauthorised access to your account.
- Take responsibility for all activities that occur under your account, whether or not you authorised them.
You must be at least 18 years old and legally able to enter into contracts to use the Services.
4. License & acceptable use
License grant
Subject to your compliance with these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your Subscription Term, solely for your internal business purposes.
Acceptable use
You agree not to, and not to permit any User or third party to:
- Reverse engineer, decompile, or attempt to extract the source code of the Services.
- Modify, translate, or create derivative works based on the Services.
- Resell, sublicense, or commercially exploit the Services except as expressly permitted.
- Upload malicious code, attempt to gain unauthorised access, or interfere with the security of the Services.
- Use the Services to violate any applicable law or regulation, or to infringe the rights of any third party.
- Use the Services to send unsolicited communications, spam, or phishing content.
- Probe, scan, or test the vulnerability of the Services without our prior written consent.
We may suspend or restrict your access if we reasonably believe you are in breach of this section, without liability to you.
5. Subscriptions & fees
Plans and pricing
The Services are offered under subscription plans (Starter, Professional, Enterprise, and any custom plans). Current pricing is available on our Pricing page. Prices are listed in Pakistani Rupees (PKR) and are exclusive of applicable taxes, which will be added at checkout.
Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. By providing a payment method, you authorise us to charge your method for all fees and applicable taxes.
Auto-renewal
Subscriptions automatically renew for successive periods equal to the original Subscription Term, unless you cancel before the renewal date. You may cancel at any time from your account settings or by contacting billing@suffahsoft.com.
Late payment
If your payment cannot be processed when due, we may suspend or terminate your access to the Services after a reasonable grace period. Overdue amounts may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Fee changes
We may change our fees at any time. For existing Subscriptions, we will provide at least 30 days' notice before any fee change takes effect. If you do not agree to a fee change, you may cancel your Subscription before the change takes effect.
6. Intellectual property
The Services, including all software, designs, trademarks, logos, and documentation, are and will remain the exclusive property of Experts InfoTech and its licensors. Nothing in these Terms transfers any ownership in the Services to you. You may not use our trademarks without our prior written permission.
You retain all rights, title, and interest in your Customer Data. We retain all rights, title, and interest in any aggregated, anonymised usage statistics and improvements derived from your use of the Services.
7. Your data & privacy
You own your Customer Data. You grant us a limited license to use, copy, transmit, store, and process Customer Data solely to provide the Services and as described in our Privacy Policy. We will:
- Process Customer Data only on your documented instructions.
- Implement appropriate technical and organisational measures to protect Customer Data.
- Not access, use, or disclose Customer Data except as necessary to provide the Services, comply with law, or as you authorise in writing.
- Make Customer Data available for export at any time during your Subscription, and honour your deletion requests as described in our Privacy Policy.
8. Third-party services
The Services may integrate with third-party applications, services, or APIs (e.g., WhatsApp, email providers, attendance machines). Your use of any third-party service is subject to that provider's own terms and privacy policy. We are not responsible for the acts or omissions of any third-party provider, and the availability of any third-party integration is not guaranteed.
9. Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information (and in no event less than reasonable care), and to use such information only for purposes of performing under these Terms. Confidentiality obligations survive termination of these Terms for a period of three (3) years.
10. Warranties & disclaimers
We warrant that we will provide the Services in a professional and workmanlike manner consistent with industry standards. To the maximum extent permitted by law, the Services are provided "as is" and "as available", and we expressly disclaim all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or free from harmful components, or that defects will be corrected. No advice or information obtained by you from us will create any warranty not expressly stated in these Terms.
11. Limitation of liability
To the maximum extent permitted by law, in no event will either party be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, loss of goodwill, or business interruption, arising out of or related to these Terms, even if advised of the possibility of such damages.
Each party's total cumulative liability arising out of or related to these Terms will not exceed the greater of (a) the total fees paid or payable by you under your Subscription in the twelve (12) months preceding the event giving rise to the claim, or (b) PKR 1,000,000.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, death, or personal injury.
12. Indemnification
You will defend, indemnify, and hold harmless Experts InfoTech and its officers, directors, employees, and agents from any third-party claim arising out of (a) your use of the Services in violation of these Terms, (b) your Customer Data, or (c) your violation of any law or the rights of a third party.
13. Termination
By you
You may terminate your Subscription at any time via your account settings or by contacting us. Termination takes effect at the end of your current billing period, and you will retain access until then.
By us
We may suspend or terminate your access to the Services if (a) you breach these Terms, (b) you fail to pay fees when due, (c) we are required to do so by law, or (d) we discontinue the Services with at least 60 days' notice.
Effect of termination
Upon termination, your right to use the Services ceases immediately. We will retain your Customer Data for 90 days so you can export it; after that it will be permanently deleted in accordance with our retention policy. Sections that by their nature should survive termination will do so.
14. Changes to these terms
We may update these Terms from time to time. If we make a material change, we will notify you by email or via a prominent notice in the Services at least 30 days before the change takes effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
15. Governing law & disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably within 30 days will be referred to arbitration under the rules of the Pakistan Centre for Dispute Resolution, by a sole arbitrator appointed in accordance with those rules. The seat of arbitration will be Lahore, and the language will be English. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
16. Miscellaneous
- Entire agreement: these Terms, together with your Subscription order form and our Privacy Policy, constitute the entire agreement between you and us regarding the Services.
- No waiver: our failure to enforce any right under these Terms will not be deemed a waiver of that right.
- Severability: if any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
- No agency: nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.
- Force majeure: neither party will be liable for any delay or failure to perform due to causes beyond its reasonable control.
- Notices: notices to you may be sent to the email address associated with your account. Notices to us should be sent to legal@suffahsoft.com.
